Terms of Service
Last updated: August 29, 2026
Plain-language summary: These Terms govern your use of Viglok's web dashboard, the Viglok Operator mobile app, and viglok.com. By creating an account, subscribing, or using the app, you agree to them on behalf of yourself and, if applicable, the business you represent.
1. Agreement to these Terms
These Terms of Service ("Terms") are a contract between you and Proxio LTD Co., a South Carolina limited liability company doing business as Viglok ("Viglok," "we," "us"), governing your access to and use of the Viglok web management dashboard, the Viglok Operator mobile app, viglok.com, and any related services (together, the "Service"). By creating an account, accepting an invitation, or otherwise using the Service, you agree to these Terms. If you're accepting on behalf of a business, you represent that you have authority to bind that business, and "you" refers to that business as well.
2. Who can use Viglok
You must be at least 18 years old and able to form a binding contract to create a Management User account. A Business is responsible for the Operator and mechanic accounts it invites or authorizes, and for ensuring those individuals are permitted to use the Service under these Terms.
3. Accounts
- You're responsible for the accuracy of the information you provide and for keeping your login credentials confidential.
- You're responsible for all activity that occurs under your account, including actions taken by Operators or mechanics your Business invites.
- Notify us promptly at alerts@viglok.com if you suspect unauthorized use of your account.
4. Subscriptions, trials, and billing
- New Business accounts may start with a free trial period (currently 30 days). We'll tell you before the trial ends if a paid subscription is about to begin.
- Paid subscriptions are billed in advance on a recurring basis (monthly or annually, as selected) through our payment processor, Stripe. By subscribing, you authorize us to charge your payment method on file for all fees until you cancel.
- Subscriptions renew automatically unless cancelled before the next billing date. You can cancel anytime from your account settings; cancellation takes effect at the end of the current billing period, and we don't provide refunds or credits for partial periods except where required by law.
- We may change our prices with at least 30 days' notice. Continued use after a price change takes effect means you accept the new price.
- Mechanics who purchase job leads through the marketplace ("lead unlocks") are charged per lead as described at the time of purchase. Lead unlock fees are non-refundable once a lead's contact details have been revealed, except where required by law.
5. The mechanic marketplace
Viglok allows Businesses to post job listings and allows independent mechanics to view and unlock those listings as leads, and to submit quotes. Viglok is not a party to, and does not guarantee the outcome of, any agreement between a Business and a mechanic. We don't vet mechanics' qualifications, licensing, or insurance, and we don't guarantee that unlocking a lead will result in a job, a quote, or any particular outcome. Businesses and mechanics are solely responsible for evaluating each other and for the terms of any work they agree to.
Important — read before relying on Viglok for equipment safety: Viglok is a record-keeping and scheduling tool. It helps you track inspections, maintenance intervals, and repairs — it does not replace manufacturer-required maintenance procedures, professional mechanical inspection, or your obligations under OSHA and other applicable safety laws. You are solely responsible for the safe operation and maintenance of your equipment, for determining whether a machine is safe to operate, and for complying with all applicable laws and manufacturer specifications. Do not rely on Viglok as your sole safety check before operating heavy equipment.
6. Operator accountability features
The Service includes features that flag likely duplicate photo submissions and calculate Operator performance scores, to help a Business review its own field data. These are informational aids only — Viglok makes no representation about their accuracy, and a Business is solely responsible for how it interprets these signals and for any employment or disciplinary decisions it makes. Do not use these features as the sole basis for any adverse action against an employee without independent verification.
7. Your data and your responsibilities as a Business
- You retain ownership of the business, equipment, and inspection data you and your Operators submit ("Customer Data"). You grant Viglok a license to host, process, and display that data solely to provide the Service to you.
- You represent that you have the right to submit information about your Operators (employees or contractors) to Viglok, and that you've provided any notices and obtained any consents required by applicable law before enrolling them — including, where required, notice that the Operator app may collect location data at the time of inspection submission and photos for accountability review. See our Privacy Policy for what we collect.
- You're responsible for the accuracy of the inspection, maintenance, and equipment data your Business submits.
8. Acceptable use
You agree not to:
- Use the Service for any unlawful purpose or in violation of any applicable law or regulation;
- Falsify inspection records, photos, or maintenance data, or otherwise misrepresent the condition of equipment;
- Attempt to gain unauthorized access to any account, system, or data not belonging to you;
- Interfere with, disrupt, or reverse-engineer the Service, or circumvent any security or rate-limiting features;
- Upload content that infringes another party's intellectual property or privacy rights;
- Use the Service to harass, discriminate against, or retaliate against an employee in violation of applicable law.
9. Intellectual property
Viglok and its licensors own all right, title, and interest in the Service, including its software, design, and branding. Except for the limited right to use the Service as permitted by these Terms, no rights are granted to you.
10. Third-party services
The Service relies on third-party providers, including Stripe (payments), Supabase (hosting/database), Resend (email), and, for the mobile app, the Apple App Store and Google Play. Your use of the mobile app is also subject to the applicable app store's terms. We aren't responsible for outages or issues caused by these third-party providers.
11. Termination
You may cancel your subscription and stop using the Service at any time. We may suspend or terminate your access if you breach these Terms, fail to pay applicable fees, or if we reasonably believe your use poses a risk to the Service or other users. Upon termination, your right to use the Service ends; we'll retain Customer Data for a reasonable period as described in our Privacy Policy to allow for export or account recovery, after which it may be deleted.
12. Disclaimer of warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT IT WILL PREVENT EQUIPMENT FAILURE, DOWNTIME, OR ACCIDENTS.
13. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, VIGLOK AND ITS OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR EQUIPMENT, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM AROSE.
14. Indemnification
You agree to indemnify and hold Viglok harmless from any claims, damages, or expenses (including reasonable attorneys' fees) arising from: your use of the Service; your violation of these Terms; your violation of any law or third-party right, including failure to provide required notices to your Operators; or equipment failure, injury, or property damage related to your equipment or its maintenance.
15. Governing law and disputes
These Terms are governed by the laws of the State of South Carolina, without regard to conflict-of-law principles. Any dispute arising out of these Terms or the Service will be brought exclusively in the state or federal courts located in South Carolina, and you consent to personal jurisdiction there.
16. Changes to these Terms
We may update these Terms from time to time. If we make material changes, we'll update the "Last updated" date and, where appropriate, notify Management Users by email or in-app notice. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
17. General
- These Terms, together with our Privacy Policy, are the entire agreement between you and Viglok regarding the Service.
- If any provision is found unenforceable, the remaining provisions remain in full effect.
- You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
- Our failure to enforce any provision isn't a waiver of that provision.
